Agrarius is a R10 billion Shari’ah compliant asset backed Sukuk listed on the debt market of the JSE’s Sustainability Segment.

Use of Proceeds:

The proceeds from this Tranche of Notes will be used to undertake Investments in terms of the Master Investment Agreement, within 5 Business Days of receipt by the Company of proceeds for the relevant Tranche of Notes by paying the amount of the Investment into a South African bank account nominated by Agrarius OpCo for purposes of concluding the Underlying Transactions.

The proceeds raised from the issue of the Sukuk Notes will be further applied in accordance with the Sustainability-linked Sukuk Framework 1, as signed off by the Independent Sustainability Advisor

Reference Rate:

3 month ZAR- JIBAR, determined on the last Calendar Day of a Calendar Month for the reference rate applicable to the following Calendar Month as benchmark using a simple rate of return (not compounding)

An additional margin of 25 basis points (calculated in arrears) will be added to the Margin, in the event of the Company failing to meet any of the sustainability performance targets detailed in terms of the Sustainability-linked Sukuk Framework 1, which will accrue and become payable upon the dissolution of the Sukuk Notes

Final Dissolution Amount:

100% of the Nominal Amount per Sukuk Note

Aggregate Outstanding Principal Amount of all of the Notes (including existing Notes) in issue under the Programme as at the Issue Date

The Company confirms that the issue of this Tranche of Sukuk Notes is the first issuance under the Programme and accordingly, the Aggregate Outstanding Principal Amount immediately preceding the issue and listing of this Tranche is zero

Agrarius - How to invest

The Agrarius Sukuk is listed on the JSE Debt Market with the ticker AGRIA1

You can invest by trading on the Johannesburg Stock Exchange (JSE) or through an endowment policy. Steps for each are provided below:

Trade on the JSE

You would need an account with a stockbroker that is authorised to trade on the JSE Debt Market. If you don’t have a stockbroker account or your broker is not authorised to trade on the Debt Market, please contact us at and we will assist you in opening an account with a stockbroker.

Decide how much you want to invest and deposit that amount plus a little bit extra for stockbroker fees (your stockbroker can tell you how much) into your stockbroker account.

Depending on your broker’s offering you can either place the bid online by looking for the ticker AGRIA1 or calling in to place your bid.

You will see the current market price on screen or the broker will provide it to you.

You can then place a bid at the current market rate or decide to offer a slightly higher or lower bid.

Keep in mind the profit participation rate pay-out is based on R1.

Assuming the current market price is R1, you can decide to offer R1.10 for 1000 Sukuk. Someone looking to sell their Sukuk might then decide to accept your bid and then sell their 1000 Sukuk.

This happens automatically and you will receive the 1000 Sukuk in your broker account and the broker would transfer R1100 from your account to the seller’s broker account.

It is as simple as that; you have then successfully purchased 1000 Sukuk.
